I have a '73 Charger SE, and pulled the headliner since it was old and gross. There are particle board cutouts above the rear windows. the one above the left rear is fine but the right side one is falling apart. Are these needed or can I have the new headliner installed without any issues?

they are sound and heat insulation boards... would be GREAT to have them reproed, but not, they are not reproed.

You can fit new headliners without them though...

Thanks for the info. The piece is still there, just got soft and starting to separate. I'll remove it and allow it to harden and store it for safe keeping. The left side one is perfect.
